ACTIVE EXCLUSIVE ENGAGEMENTS 

Advisory – Professional Services: Capital Solutions has been engaged to advise the Company on restructuring alternatives for a premiere professional services company with $150 million in debt obligations.

Capital Raise – Branded Apparel: Capital Solutions has been engaged to raise $23 million term loan refinancing for a sponsor-backed $10+ EBITDA platform in the premium apparel sector.

Capital Raise – Corrugated Packaging: Capital Solutions has been engaged to raise $40 million to refinance maturing asset based and junior debt facilities for a leading corrugated packaging company in the Southeast.

Capital Raise – Liquid Asphalt Distributor: Capital Solutions has been engaged to raise $45 million to refinance asset based facilities for a leading liquid asphalt distributor in New England.

Capital Raise – Financial Services: Capital Solutions has been engaged to raise $20 million of mezzanine financing to provide growth capital for a sponsored financial services platform.

Capital Raise – Independent Television Distributor: Capital Solutions has been engaged to raise $10 million of debt financing to provide growth capital for a major independent distributor in the television industry.

$43 Million Debt Capital Raise – Sponsor New Platform:  Capital Solutions was engaged as exclusive advisor to raise $43 million of “one-stop” debt financing to support a Sponsor’s investment in a new platform company.  December 2012

$107 Million Debt Capital Raise – Sponsor New Platform:  Capital Solutions was engaged as exclusive advisor to raise $107 million of “one-stop” debt financing to support a Sponsor’s investment in a new platform company and provide committed capital for future add-on acquisitions.

Advisory – Public Power:  Capital Solutions was strategic advisor to Public Power since 2010. The Company was acquired by Crius Energy in 2012 as part of a $100 million IPO on the Toronto Stock Exchange.  November 2012

Debt Capital Raise – Curriculum Associates I & II:  Capital Solutions was engaged to raise debt capital for a family-owned publisher and online provider of supplemental learning materials targeted primarily to K-12 school districts in the US. The capital was used to support growth in both print and online platforms.  September 2012 & July 2011

Advisory – Sponsor-Owned Online Company:  Capital Solutions was engaged to advise the Sponsor for amendment negotiations of a portfolio company.  September 2012

Advisory – Sponsor-Owned Professional Services Company:  Capital Solutions was engaged as a follow-on assignment to the "February 2011 Recapitalization" engagement to advise the Sponsor of their alternatives for a complex capital structure where it has majority control and investments ranking from senior secured through common stock.  March 2012

$51 Million Subordinated Debt Capital Raise – Monitor Consulting:  Capital Solutions was engaged by Monitor Group, a leading global management consulting firm, to refinance a portion of its debt and to provide for growth capital.  October 2011 

Debt Capital Raise – Fresh Bakery:  Capital Solutions was engaged to raise debt capital for a sponsor-owned fresh bakery to expand its working capital line of credit.  May 2011

$44 Million Debt Capital Raise – Sponsor New Platform:  Capital Solutions was engaged as exclusive advisor to raise $44 million of “one-stop” debt financing to support a Sponsor’s investment in a new platform company.  February 2011

Recapitalization – Sponsor-Owned Professional Services Company:  Capital Solutions was engaged by the portfolio company of a Sponsor to advise on a balance sheet restructuring that culminated in the repurchase of the company’s existing senior secured debt by the Sponsor and management at a significant discount.  The Sponsor retained majority control.  February 2011

$50 Million Recapitalization – Sponsor-Owned Branded Food Company:  Capital Solutions was engaged by the portfolio company of a Sponsor, the largest grower and marketer of organic and conventional fresh herbs in the US.  Capital Solutions arranged modifications to its senior and mezzanine debt and a structured equity investment.  Capital Solutions also provided strategic advice on a follow-on amendment.  The Sponsor retained majority control.  February 2011 & March 2010

$70 Million Recapitalization – Sponsor-Owned Trade Show Company: Capital Solutions was engaged by the portfolio company of a Sponsor to advise in the recapitalization of its meeting-planning portfolio company. Capital Solutions developed and implemented a $70 million recapitalization which included: (i) a new 3 year revolving credit and term loan facility, (ii) payment modifications and a maturity extension of its mezzanine debt, and (iii) a debt-for-equity conversion of a portion of its debt including 100% of its seller notes. The company was able to reduce its debt by over 35% while the Sponsor retained majority control.  December 2009

Restructuring – Evergreen Transportation:  Capital Solutions was engaged to advise the shareholders on the continued viability of a  dry bulk hauler in the Southeast, Evergreen Transportation. Capital Solutions successfully secured a "Debtor-In-Possession" facility from the largest creditor, advised the company through a Chapter 11 bankruptcy process, and helped execute strategic alternatives while in bankruptcy.  Bob Kosian was appointed as the Chief Restructuring Officer during the engagement.  December 2009 

Restructuring – StarTrans: Capital Solutions was engaged by the owners of a leading $60 million revenue dry bulk (cement, ash, lime, grain) hauler, Star Trans Inc., in the Southeast.  Capital Solutions developed a plan for the company to significantly downsize its fleet to the level of current economic demand and return excess equipment to the secured lenders in exchange for a discounted claim. Capital Solutions successfully negotiated a forbearance with the secured lenders that allowed time to find a buyer and file a "363" plan as part of its bankruptcy filing.  November 2009
